Zomato’s independent director Gunjan Tilak Raj Soni has resigned from her position with immediate effect. According to a stock exchange filing, Soni is leaving the online food delivery company due to ‘increased work commitments’. Soni joined Zomato‘s board of directors before the food delivery company’s initial public offering (IPO) in July 2021.
Soni holds a bachelor’s degree in engineering in computer science from the Barkatullah Vishwavidalaya, Bhopal and a post graduate diploma in business management from XLRI, Jamshedpur.She is currently the chief executive of Southeast Asia focused fashion retailer Zalora Group and has formerly been a senior executive at Myntra, Jabong, Star India and McKinsey.

Here’s Gunjan Soni’s resignation email

This is to inform the Board that due to my increased work commitments; I hereby tender my resignation as an independent director of the Company with effect from close of business hours on October 11, 2024.
Consequently, I will also be stepping down as a member of the risk management committee and corporate social responsibility committee of the Company.
I have had a great partnership with the Zomato team and the other Board members over the past 3 years. The need to step down stems from increased professional commitments and was a tough decision. I am grateful for the opportunity to have served on the Board and am confident in Zomato’s management team and the company’s future direction.
It has been an absolute pleasure to serve on the Board under Kaushik’s chairmanship and work alongside such talented and dedicated Board members and the management team. I take this opportunity to thank them for the support extended to me during my tenure as an Independent Director of the Company. I wish Deepinder and team the very best for continued success.
I hereby confirm that I am not a director in any other listed entity in India and there are no other material reasons for my resignation other than those mentioned above.
Kindly acknowledge the receipt and take all necessary steps, including filing of the requisite form/s with the Registrar of Companies, Ministry of Corporate Affairs, disclosures under applicable regulations within the stipulated timelines to record my resignation.

What Zomato said in its exchange filing on Gunjan

“We would like to inform that Ms. Gunjan Tilak Raj Soni (DIN: 07333270) has tendered her resignation as independent director of the Company, with effect from close of business hours on October 11, 2024 due to increased work commitments. Consequently, she shall also cease to be a member of the risk management committee and corporate social responsibility committee of the Company. Ms. Gunjan Tilak Raj Soni has confirmed that there are no material reasons for her resignation other than those mentioned in his resignation letter”.
